These Terms of Use (“Terms”) are an agreement between you and TrueIdiom
(“TrueIdiom”, “we”, “us”) governing your access to and use of the TrueIdiom
human-in-the-loop translation service (the “Service”). By creating an account or using
the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
TrueIdiom pairs machine translation with a reflective AI review pass and human
sign-off where the quality gates call for it. You upload source material, and the
Service produces a candidate translation together with a quality assessment. Results
that meet your workspace’s quality threshold are published automatically as the
approved (“golden”) file; results that do not are routed to a human reviewer in
your workspace to inspect, edit, and sign off before publication. Your workspace
settings control that threshold. Features may change over time as described in
Section 13.
2. Eligibility and accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract.
You are responsible for providing accurate account information and for keeping your credentials secure.
You are responsible for all activity under your account, including that of users you invite to your organization (tenant).
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Acceptable use
You agree not to:
Upload content you do not have the right to use, translate, or share.
Use the Service to violate any law or infringe the rights of others.
Attempt to breach, probe, or circumvent security, tenant isolation, or access controls, or access another organization’s data.
Interfere with, overload, or disrupt the Service, or use it to build a competing service.
Reverse engineer, scrape, or attempt to extract the underlying models or software except as permitted by law.
Upload malware or content that is unlawful, harmful, or abusive.
4. Your content and license
You retain all ownership of the content you submit and the translations you produce
(“Customer Content”). We do not claim ownership of it.
You grant us a limited, non-exclusive license to host, process, transmit, and display
Customer Content, and to send it to the translation and AI providers described in our
Privacy Policy, solely to provide and support the Service. We do not use
your Customer Content to train foundation models. You represent that you have all rights
necessary to submit your content and to grant this license.
5. Machine translation and AI — no guarantee of accuracy
The Service uses machine translation and large language models, which can produce
output that is inaccurate, incomplete, or unsuitable for a given context. The
human-in-the-loop review step exists precisely because automated output is not
guaranteed to be correct.
You are responsible for reviewing translations before relying on them. Human
review opens only when the quality gates call for it: results that meet the threshold
configured in your workspace publish automatically, without a person seeing them
first. Your workspace controls that threshold, and reviewing what the Service
publishes remains your responsibility. TrueIdiom does not warrant that any
translation is accurate, fit for a particular purpose, or suitable for legal, medical,
financial, safety-critical, or other high-stakes use. You are responsible for obtaining
independent professional review where the stakes require it.
6. Plans, billing, and payment
Certain features require an active subscription. A new workspace may translate text through the workspace during its free trial without adding a payment method; API access and document translation require an active subscription. Where billing is enabled, you must add a valid payment method before using features that require a subscription.
Free trial. A new workspace may be granted a free trial of 150,000 source characters or 14 days, whichever ends first, counted from when the workspace is created. Trial grants are subject to anti-abuse limits and may be withheld; a workspace that receives no trial grant is still created and can be used on a paid subscription.
Subscriptions. The Service is billed as a flat monthly subscription, charged in advance, carrying a fixed allowance of source characters for that billing period. The subscription fee does not vary with how much of the allowance you use, and characters are counted from the source text you submit for translation, at the rates and allowances presented to you.
Top-up packs. Prepaid top-up packs are the only way to work beyond your monthly allowance. They are purchased manually and are never charged automatically, they do not expire, and they are drawn on only after the allowance for the period is exhausted.
When allowances run out. When your monthly allowance and any top-up balance are exhausted, the Service refuses new translation work until the next billing period begins or you buy a top-up pack. Work is refused rather than billed: there are no postpaid charges and no invoice beyond the subscription fee and the top-up packs you choose to buy.
Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for applicable fees and taxes.
Fees are exclusive of taxes, which you are responsible for. Except where required by law, fees are non-refundable — subscription fees and top-up packs alike, including any unused allowance or top-up balance.
You may cancel at any time. Because subscriptions are billed in advance, cancellation stops future renewals; the period you have already paid for stays active and usable until it ends, and is not prorated or refunded. We may change pricing prospectively with notice.
7. Intellectual property
The Service, including its software, models integration, user interface, and the
TrueIdiom name and logo, is owned by TrueIdiom or its licensors and is protected by
intellectual property laws. These Terms grant you a limited, non-exclusive,
non-transferable right to use the Service; no other rights are granted. Any feedback you
provide may be used by us without restriction or obligation to you.
8. Third-party services
The Service relies on third-party providers, including Microsoft Azure, AI model providers,
Stripe, and identity providers you choose to use. Your use of the Service may also be subject to
those providers’ terms. We are not responsible for third-party services, and their
availability may affect the Service.
9. Suspension and termination
You may stop using the Service and close your workspace at any time. We may suspend or
terminate your access if you breach these Terms, fail to pay, or use the Service in a
way that creates risk or legal exposure for us or others, or as needed to comply with
law. On termination, your right to use the Service ends; sections that by their nature
should survive (such as content licenses granted, payment obligations, disclaimers, and
limitations of liability) will survive.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind,
whether express, implied, or statutory, including implied warranties of
merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do
not warrant that the Service will be uninterrupted, error-free, or secure, or that any
translation will meet your requirements.
11. Limitation of liability
To the maximum extent permitted by law, TrueIdiom and its suppliers will not be liable
for any indirect, incidental, special, consequential, or exemplary damages, or for lost
profits, revenue, data, or goodwill, arising out of or related to your use of the
Service. Our total liability for any claim relating to the Service will not exceed the
amounts you paid to us for the Service in the twelve months before the event giving rise
to the claim. Some jurisdictions do not allow certain limitations, so some of the above
may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless TrueIdiom from claims, losses, and expenses
(including reasonable legal fees) arising out of your Customer Content, your use of the
Service, or your breach of these Terms or of any law or third-party right.
13. Changes to the Service and these Terms
We may modify or discontinue features of the Service, and we may update these Terms from
time to time. When we make material changes to these Terms, we will update the “Last
updated” date above and, where appropriate, notify you. Your continued use of the Service
after an update means you accept the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Washington, USA, without regard to
its conflict-of-laws rules, and the state and federal courts located in Washington will
have exclusive jurisdiction over any dispute, except where applicable law gives you the right
to bring a claim elsewhere. Nothing in these Terms limits any consumer rights that
cannot be waived under applicable law.
